技术秘密技术秘密 技术秘密又称技术诀窍。从经验或者技艺中得来的，能在实践中特别是在工业生产中应用的没有取得专利的技术发明、技术信息和技术知识等。它不仅包括技术领域，而且包括经营管理领域和商业领域，是国际技术贸易的主要对象之一。技术秘密的主要特点如下:①实用性和经济性。它可以把发明变成可以实施的实践方法和技术。一旦用到生产中去，就能迅速转化为生产力，产生经济效益。②可传授性和可转让性。技术秘密可以通过有形的(图表、文字)方式和无形的(视听、技术培训)方式进行传送，也可以用独立许可证和非独立许可证的方式进行转让。③保密性。技术秘密的内容是保密的，但不受法律的保护。④技术秘密是人类智力活动的产物，是一种技术知识。 技术秘密和专利都属于知识产权的范畴，二者之间也有许多不同之处，主要区别在于:①专利是专有技术，而技术秘密则不是。专利权人依据各国的专利法都享有专有权，所以专利权的技术才是专有技术。而技术秘密至今没有一个国家的法律承认它有专有权。事实上，技术秘密一旦公开，人人都可以使用，无须得到技术开发人的许可。即使该技术处于保密状态，第三人如果开发出同样的技术，也有权自由使用或转让给其他人使用，原开发人无权干涉。因此技术秘密不是专有技术。②专利要公开技术内容，则享受专利权的保护;而技术秘密的内容是保密的，不能得到法律的保护。③技术秘密的内容比专利更具体，更具有完整性。完成一项完整的技术秘密需要花费大量的人、财、物，而技术秘密在生产中具有实有性、经济性，因此，对技术秘密需要加以保护。对技术秘密的保护主要采取以下措施:一是如果技术秘密或其主要部分是符合专利条件的，那么申请专利并通过专利法来保护是一个有效的办法。二是如果技术秘密不符合专利条件而不能取得专利，或者不愿申请专利的，只能靠采取严格的保密措施来加以保护。三是通过合同保护。技术秘密的转让大多数是通过双方签订合同来实现，合同中一般都规定被许可人应负担保密和不将技术秘密告知他人的义务。中国技术合同法规定，非专利技术转让合同的转让方和受让方均应承担合同约定的保密义务。违反保密义务的，应当支付违约金或赔偿损失。
