涉外补偿贸易合同涉外补偿贸易合同外商提供机器设备和技术，中方用此机器、设备和技术生产出的产品或以劳务偿还对方所提供的机器、设备和技术费用而达成的协议。补偿贸易是买方以信贷方式购买卖方的机器、设备和技术，并在一定期限内用该机器、设备和技术生产出的产品或其它产品或劳务来偿还的贸易方式，这也是利用外资，增加出口的有效途径。 我国对外补偿贸易在筹资方面一般采取两种方式： 1.由国外设备者向其本国银行直接贷款，即利用卖方信贷为我方垫付进口设备资金，然后我方以返销产品偿还供方； 2.由我方利用买方信贷，然后用返销产品收汇偿付银行本息。 涉外补偿贸易合同签订后在执行过程中发生争议时，所适用的法律，要根据争议发生的原因与环节而定。根据国际上一般规定，双方当事人在订立合同时，可以由双方协商选择解决争议所适用的法律，没有选择的，则可采取最密切联系原则，通常认为补偿贸易合同缔结地或履行地是与合同最密切联系地。如其在我国签订与履行的，那就应当适用中国法律。另外在解决争议时，也要依据补偿贸易合同双方当事人所共同参加的国际条约和所承认的国际惯例为依据来解决争议。一般争议如果在合同条款当中对双方当事人的责任已有明确规定的，也可以根据合同的条款为依据来解决争议。
