企业清算企业清算是指企业宣告解散、破产后，为结束各种法律关系和债权、债务关系，对企业财产、债权、债务进行清查并分配剩余财产的行为。企业宣布终止时，应当成立清算机构。清算机构在清算期间，负责制定清算方案，清理企业财产，编制资产负债表和财产清单；处理企业债权、债务；向投资者收取已认缴而未缴纳的出资；清算纳税事宜以及处置企业的剩余财产。企业清算的直接原因是企业法人地位的终止。每个企业在中上其生产经营活动以后，都要进行清算，确认各项财产物资的价值或将其变现，收回债权，偿还债务，将企业的剩余权益分割给投资者。　　引起企业解散的原因有以下几种：　　1.企业约定的合营期满，国内联营企业、中外合资经营、合作经营企业，在合同、协议、章程中约定的经营期满以后，投资方又无意继续经营下去，企业可于期满时解散。　　2.投资各方无意继续经营，无经营期限的企业，或有经营期限企业在期满之前，投资各方共同认为没有经营前景，无力继续经营，可以提出解散或提前解散。　　3.合营企业投资一方违约，合营企业的投资一方不履行合同或章程，不按期足额交纳出资额，或不履行合同或章程规定的其他义务，而造成企业名存实亡，无法继续经营下去，合营企业他方投资者，可提出解散，并可依法追偿由于投资-方违约而造成的投资损失。　　4.撤销企业。　　5.企业破产。　　企业清算通常分为任意清算和法定清算两种。　　1.任意清算是指按照企业章程、董事会或股东大会决议而进行的清算。任意清算的特点是企业享有清算财产的处分权，企业可以将其财产以实物形式分配给原投资者，也可将其资产转让出去而将所得收益分配给投资者，任意清算只适合于无限公司等联合公司；　　2.法定清算是指依照企业法规定的程序和条件进行的清算。法定清算适合于各种性质的企业，对股份有限公司只能实行法定清算。法定清算分为普通清算和特别清算两种：　　(1)企业普通清算指合营企业因经营期限届满等原因而引起的解散。　　(2)特别清算是企业因资不抵债宣告破产或普通清算过程中出现明显障碍时，只能通过法院实行特别清算。
