留置权留置权retention，rightof债的担保的一种。债务人完全不履行或不适当履行债务时，债权人有权扣留已经占有的债务人的财物；当债务人超过一定期限仍不履行合同时，债权人有权将所扣押的财物变卖，从价款中优先受偿。例如，按照保管合同和承揽合同，寄托人或定作人不按期或不如数交付保管费或加工费时，保管人或承揽人有权扣留所保管或加工的财物。如债务人超过规定的期限仍不履行，则保管人或承揽人可以从变卖扣留财物所得价款中获得债权的清偿。如清偿后尚有余款，则应退还债务人或以债务人名义存入银行待领。留置人有妥善保管留置物的义务。留置权所担保的债权消灭时，留置人有将留置物返还的义务。
