实物交割实物交割 【实物交创】长期以来，证券业沿用的是实物证券交易，这种传统的方式使得证券的发行、交易、结算、交割及兑付运作手续烦琐，而且成本高，效率低，风险大。 根据我国《公司法》的规定，纸面形式证券(实物)应当载明下列主要事项:公司名称;股票种类，票面余额及代表的股份数;，公司登记成立的日期;股票的编号;股票由董事长签名、公司盖章。发起人的股票，应当标明发起人股票字样，证券的实物交割形式是各国证券业早期的必然阶段，因为那时没有建立集中代保管制度，更没有电脑的参与，只有选择这种较原始基本的交割方式。 以我国上海、深圳证券流通市场发展的经历为例，1984年，上海出现了新中国成立后第一批本地区的证券(实物证券)，主要是向本企业职工发行股金券和集资券。第一张向社会公开发行的规范化的股票是上海飞乐音响股份有限公司发行的股票50万元，每股面值50元。到延中实业有限公司的股票公开发行后，证券的交易流转也开始试办。根据当时上海市规定，股票转让交割由代理发行的金融机构代办，转让的价格由中国人民银行上海分行统一规定。当时的规定是按股票票面金额再加上储蓄存款计算的持有期间的利息。当时允许证券持有人自找对象进行转让，但条件谈妥后，恋易双方必须到代理股票发行的金融机构办理交割过户手续，当时可办理有价证券转让交割的金融机构只有中国工商银行上海市静安区办事处信托部一家。据统计从 1985年1月到1986年底，该信托部共办理转让过户1 1453股，仅占发行总额的10%。1986年9月，上海建立了第一个证券柜台交易点，中国工商银行上海静安区办事处信托部开始正式办理上海飞乐和上海延中股票的转让买卖业务。交割的方式仍为实物券的代购代销，即股票持有者如要卖出股票可填写委托单，写明需要卖出股票的名称、数量和金额，并留下自己的姓名、地址，委托该部出售。一旦卖出之后，凭该信托部的通知办理交割手续，反之办理代购亦然。交易的价格根据当时中国人民根行上海分行的规定，为票面金额再加上预测的股息红利之和。 1987年，上海柜台交易有了较大发展，交易点从1个到8个，上市实物券数量品种增加，股票由原来的2种增加到4种，债券开始上市品种有企业债券、金融债券和国家重点建设债券，其中企业债券有14种上市。1988年，国库券上市交易，它为证券市场交易提供了最好的信用工具。
